With a strong track record of transformative impact, we have embarked on an ambitious new strategic phase with the goal of supporting 5 million more girls to complete secondary school by 2030.
Principle Accountability:
CAMFED operates as a global consortium of entities in Africa, North America, Australia and the UK, of which CAMFED International is the principal coordinating entity. At this pivotal moment, we are seeking to appoint a new role, the Head of Governance & Board Liaison, to support the Executive and Board of CAMFED International.
The Head of Legal, Governance & Board Liaison works with the CAMFED International CEO, Senior Executives, Chair and Board to ensure that legal and governance matters are handled smoothly and effectively, and to support synergy and coordination in the governance of the CAMFED consortium.
The Head of Legal, Governance & Board Liaison is accountable to the CEO of CAMFED International.
Specific Accountabilities:
Legal Advisory
• Provide high-quality legal advice to the CAMFED International Executive and Board.
• Oversee the process of selection and retention of external legal counsel, and serve as the primary liaison.
• Manage the engagement with external legal counsel on governance matters, and in the revision or update of governance documents.
• Support National Directors in the appointment and engagement with legal counsel.
• Ensure CAMFED entities operate in compliance with regulatory developments.
Governance
• Work with the Board, Executive and Committee Chairs to review and maintain policies, by-laws and TORs.
• Keep up-to-date on Charity Commission guidance and ensure relevant information is shared with the CAMFED International Executive & Board.
• Work with the Chair, CEO and CFO to ensure the Board is informed, advised and supported to facilitate the effective discharge of responsibilities for the governance of CAMFED.
• Support the CEO in the preparation and circulation of regular governance updates for Boards in the CAMFED consortium.
• Oversee the Governance Manual and ensure this is up-to-date and available as a reference point for all Boards.
Board Liaison
• Provide high-level support to the CEO including compiling Board meeting documents and reports, and drafting communications.
• Ensure the timely preparation and distribution of materials for the Board and Board Committee meetings, liaising with Senior Executives and with Committee Chairs.
• Attend CAMFED International Board meetings and Committee meetings and oversee and/or prepare minutes.
• Support the Board Chair in preparing correspondence and documentation for the Board.
• Organise and maintain all files related to the CI Board and consortium governance.
• Maintain a Board checklist, and ensure all filings are made.
• Engage with the Executive Assistant of the Global Hub to oversee administrative support on Board matters.
• Plan and oversee logistics for Board-related events, including Board meetings, annual Board
retreat, and annual inter-board Chair meetings.
• Coordinate the recruitment and/or orientation of new Board members and Committee Chairs.
• Maintain a comprehensive skills matrix of Board members in the CAMFED consortium.
Other
• Champion and model CAMFED’s values, and foster an environment of collaboration, accountability and trust among teams.
• Other priorities as may be determined by the CEO.
Person specification:
• LLB degree, and 10+ years related legal experience.
• Experience of working with nonprofit boards internationally, and engaging with legal counsel.
•Right to work in any of our African Operating Countries.
• Strong diplomacy and interpersonal skills with experience working with high-level executives.
• Excellent written and verbal communication skills.
• Strong research and analytical skills.
• Strong organizational skills that reflect the ability to perform and prioritize multiple tasks seamlessly with excellent attention to detail and ability to meet deadlines.
• Highly resourceful team player, with the ability to be effective independently.
• Ability to thrive in a fast-paced environment and work well under pressure, demonstrating persistence, perseverance, integrity and patience along the way.
• Proven ability to handle and maintain sensitive and confidential personal and financial
information with discretion and high ethical standards.
